SEC EDGAR, 2026-10-14: 8-K (Item 2.02, 9.01) — "strategic alternatives"

Comtech reports fourth-quarter results and outlines the pending $157.5 million divestiture of its Satellite and Space Communications business to Gilat.

Company: COMTECH TELECOMMUNICATIONS CORP /DE/ (CMTL) Filed: October 14, 2026, 8-K (Item 2.02, 9.01) Phrase: "strategic alternatives" — "Our significantly improved operating and financial performance put us in a position of strength as we focused on two other major objectives for the year – executing on the strategic alternatives process and improving our capital structure." What the filing says: Comtech announced that it concluded its strategic alternatives review in June 2026 by entering into a definitive agreement to sell the majority of its Satellite and Space Communications (S&S) business to Wavestream Corporation, an affiliate of Gilat Satellite Networks Ltd, for a base purchase price of $157.5 million in cash. The company received a $10.0 million advance payment upon signing, which was used to prepay debt in July. The transaction is expected to close in calendar 2026, subject to regulatory approvals and closing conditions. Comtech estimates receiving an additional $128.3 million in net cash proceeds upon closing, which must be used to prepay outstanding debt under its Credit Facility (65%) and Subordinated Credit Facility (35%). Two ways it goes: A. The sale of the S&S business closes, allowing Comtech to substantially reduce its debt and focus on its Allerium public safety business. B. The transaction fails to close, leaving Comtech with its existing capital structure and both operating segments. Next date: calendar 2026 expected closing of the transaction Watch: Regulatory approvals and the closing announcement of the S&S divestiture to Gilat.
